Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and framewed ("framewed", "we", "us"), operated from Bangladesh, for your use of framewed.com, the framewed app and related services (the "Service").

You accept these Terms by ticking the box to agree when you create an account, set your password, or when we ask you to accept an updated version — or by using the Service. We keep a record of the version you accepted, when, and from which IP address. If you use the Service for a business or studio, you accept these Terms for that business and confirm you are authorised to do so. If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle personal data and forms part of these Terms.

2. Who can use framewed

You must be at least 18 years old and able to form a binding contract. The Service is for professional use by photography and film studios, their team members and crew. You must give accurate information and keep it up to date.

3. What framewed is — and is not

framewed is a software platform. It provides tools that studios use to make invoices, record payments, book crew, deliver work, show portfolios and packages, and receive enquiries. framewed acts as an intermediary and network service provider for the information users put into it.

4. Your account

You are responsible for everything done through your account and your studio, including by team members you invite. Keep your password secret and your phone number up to date, and tell us at once if you think your account has been misused. Studio owners and managers decide who joins their team and what they can see, and are responsible for those decisions. We may refuse, suspend or close accounts at our discretion, including to protect the Service or other users.

5. Your content

"Content" means anything you or your team put into the Service: photos, text, prices, packages, invoices, client and crew details, messages, links and anything else.

You own it

You keep all rights you have in your content.

You let us use it to run the Service

You give framewed a worldwide, non-exclusive, royalty-free licence to host, store, copy, compress, resize, format, display and transmit your content, only as needed to operate, secure and improve the Service — for example, showing your portfolio and packages on your public page, sending the texts you ask us to send, and listing public portfolios in our directory and in search engines. The licence ends when your content is deleted, except for copies kept in backups for a limited time or where the law requires us to keep them.

You promise that you have the right to it

You confirm that you own or have all the rights, licences and permissions needed for your content, and that it does not break any law or anyone's rights — including copyright, privacy and publicity rights. In particular, you confirm that you have the consent of the people shown in photos you publish (and of a parent or guardian for any child), and that you are allowed to put your clients' and crew's personal details into framewed and to contact them through it.

Statistics that identify no one

framewed may create aggregated or de-identified information from use of the Service — for example average package prices by city or the busiest wedding months — that does not identify any person or studio. framewed owns this information and may use, publish, share or sell it for any purpose.

Messages from framewed

We may send you messages about your account, security and changes to the Service, and news and offers about framewed. You can opt out of promotional messages; messages about your account and security are part of the Service.

6. What you must not do

You must not use the Service to create, upload, publish, send or store anything, or do anything, that:

7. Reporting and removal

If you believe anything on framewed breaks these Terms or the law — including photos that infringe your copyright or show you without consent — write to legal@framewed.com with the link, what is wrong, and how to contact you.

We may, at our sole discretion and without notice, remove or hide any content, restrict features, suspend or close any account, or refuse service, if we believe the content or conduct breaks these Terms or the law, harms anyone, or exposes framewed to legal risk. We will cooperate with lawful requests from courts and authorities, and may keep and disclose information where the law requires or allows it. We are not obliged to monitor content, and deciding not to remove something does not mean we approve of it.

8. SMS and messages

framewed sends texts on your behalf when you ask it to — invoice notices, crew bookings and reminders, enquiry alerts and invitations. You are the sender of those messages and responsible for their content and for having each recipient's permission to receive them. We send texts through third-party gateways and mobile networks, and do not guarantee that any text will be delivered, delivered on time, or delivered at all. Security codes for signing in and resetting passwords are sent by framewed itself and never use your credit.

Studios are solely responsible for their relationships with their clients and crew: their services, prices, contracts, bookings, payments, cancellations, refunds, quality of work, delivery, taxes, and any disputes. Bookings and enquiries made through a studio's page are requests to that studio only. framewed is not responsible for whether a studio accepts, performs or pays for any work, or for anything a client, crew member or studio does or fails to do.

11. Other services

The Service uses and links to services run by others, such as SMS gateways, bKash, Nagad, YouTube, Google and file-sharing links you add. Their own terms apply to them, and we are not responsible for their availability, content, security or actions. Music in framewed is played through YouTube's own player; framewed does not host, sell or license music, and does not allow it to be downloaded. You are responsible for having the rights for any music you use in your own work.

12. Availability, backups and your data

We work to keep framewed available and your data safe, but the Service may be interrupted, changed, slow, or have errors, and may be down for maintenance. We may add, change or remove features at any time. Although we keep backups, data can be lost or damaged. You are responsible for keeping your own copies of anything important to you, such as invoices, payment records and photos. Public pages may be cached or indexed by search engines, and removing something from framewed may not remove it from them immediately.

13. Disclaimer

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, that texts will be delivered, that calculations, totals or reminders will be correct for your needs, or that any content is accurate. You use the Service at your own risk and must check anything important — such as invoice amounts — yourself.

14. Limitation of liability

To the fullest extent permitted by law, framewed and its owners, operators, staff and suppliers will not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profit, revenue, business, bookings, clients, goodwill, reputation, data or content, however caused, even if we were told it might happen.

To the fullest extent permitted by law, our total liability for all claims relating to the Service or these Terms is limited to the greater of (a) the amount you paid framewed in the three months before the event giving rise to the claim, or (b) one thousand Bangladeshi taka (BDT 1,000).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, including liability for fraud.

15. Indemnity

You agree to defend, indemnify and hold harmless framewed and its owners, operators and staff from and against any claims, complaints, demands, proceedings, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or related to: your content; your use of the Service; messages sent from your account; your dealings with your clients, crew or anyone else; your breach of these Terms; or your breach of any law or anyone's rights.

16. Suspension, removal and closing

You may stop using framewed at any time. framewed may, at any time and at its sole discretion, with or without notice and with or without giving a reason: suspend, restrict or close any account, studio or team; remove any person from any studio; remove, hide, block or permanently delete any content or data; limit or withdraw any feature; or stop offering the Service. We will usually do this because of a breach of these Terms, non-payment, suspected fraud or misuse, legal risk, or a request from authorities — but we are not required to. We are not liable to you or anyone else for exercising these rights. When an account or studio is closed, its public pages and links stop working and we may delete its data after a reasonable period, subject to our Privacy Policy and the law. Sections that by their nature should continue — including 5, 9, 13, 14, 15, 18 and 19 — survive the end of this agreement.

17. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with its date. For material changes we will ask you to accept the new version in the app before you continue using the Service. If you do not agree, you must stop using the Service.

18. Law and disputes

These Terms are governed by the laws of the People's Republic of Bangladesh. If a dispute arises, you agree to first contact us and try in good faith to resolve it for at least 30 days. If it is not resolved, the courts of Dhaka, Bangladesh have exclusive jurisdiction, and you agree to their jurisdiction.

19. General

These Terms and the Privacy Policy are the entire agreement between you and framewed about the Service. If any part of these Terms is found invalid or unenforceable, that part will be limited or removed to the minimum extent necessary and the rest will remain in full effect. If we do not enforce a right, we do not give it up. You may not transfer your rights under these Terms without our written consent; we may transfer ours, for example if framewed is sold or reorganised. Records kept electronically by framewed, including of your acceptance of these Terms, are valid evidence of what they record.
